Diserio Martin is pleased to announce that J. Russell Bulkeley has joined the firm as a Partner.
Russell Bulkeley is a transactional partner in the Firm’s Corporate and Commercial Practice Group. His practice involves the representation of companies at all stages of development, and consists of advising management and key stakeholders in the structuring, negotiation and implementation of: (i) capital raising activities; (ii) debt financing; (ii) company organization, including formation, equity and control arrangements and restructuring; (iv) strategic and financial M&A, alliances and related transactions; and (v) general commercial and business dealings.

Russell routinely counsels company boards and executives regarding compliance with the corporation and limited liability company laws of Delaware, New York, Connecticut, as well as other jurisdictions, as they relate to the formation, management and conduct of the activities of business entities and the fiduciary obligations to equity owners and others.
In addition to company-side engagement, Mr. Bulkeley represents private equity and company venture funds in connection with their portfolio investments, including providing guidance with respect to investment vehicles, governance, initial and follow-on investments and preferred rounds, mezzanine financing, recapitalizations, exits and regulatory compliance.

Russell also has represented domestic and foreign issuers and dealer-manager/market-makers in a variety of primary and secondary registered securities offerings, going public transactions and related solicitation efforts, and is called upon to instruct his clients in capital market transactions and related securities law compliance and reporting under SEC, FINRA and other regulatory regimes.

Diserio Martin is pleased to announce that Samantha Garrison has joined the firm as an Associate.
Samantha Lynn Garrison is an associate in the Litigation Practice Group. Samantha represents individuals and entities in complex commercial, personal injury, land use, intellectual property and professional liability litigation in state and federal courts.

Prior to joining DMOC, Samantha was the Deputy Village Attorney for the Village of Scarsdale, NY where she served as legal advisor to the Village Board of Trustees, boards and councils of the Village, and to the Village Manager and other Village officers and employees. She also served as the acting Village Prosecutor, prosecuting violations of local code and the New York State Vehicle and Traffic Law.

Samantha received her B.S. from Siena College in 2012 with a major in Biochemistry. She earned her J.D. from Pace University School of Law in 2015. While in law school, she served as Executive Articles Editor of the Pace Intellectual Property, Sports & Entertainment Law Forum. She also worked as a student attorney with the Rockland County District Attorney’s Office.

Samantha also teaches English as a foreign language online to young students around the world.

Diserio Martin is pleased to announce that Ryan Zangeneh has joined the firm as an Associate.
Ryan is an associate in the Private Clients Group. Ryan focuses in the areas of estate planning, trust and estate administration, business succession planning, taxation and charitable giving. His approach to estate planning is comprehensive, including advising clients on estate tax avoidance strategies, legacy planning for younger generations, lifetime gifting, beneficiary designations, health care directives and powers of attorney. Ryan represents clients in probate court matters involving estates and trusts.
Prior to DMOC, Ryan worked at two multinational accounting firms (Ernst & Young and KPMG) in their mergers and acquisition tax groups.

During his time at Ernst & Young and KPMG, Ryan worked primarily on tax structuring, due diligence, contract review and tax research for various private equity and corporate clients.
